Terms and Conditions

§1 Scope

These General Terms and Conditions ("Terms") govern the use of the Telden Product Service Desk platform ("Service") operated by Florian Gattung, Rosenstr. 5, 65719 Hofheim am Taunus, Germany ("Provider").

By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

§2 Subject matter and service description

Telden provides a web-based platform for managing product compliance documentation, including catalog import, document management, AI-assisted extraction, compliance review workflows, and publishing.

The Service is offered as Software-as-a-Service (SaaS). The Provider reserves the right to modify, extend, or discontinue individual features with reasonable notice.

§3 Account registration

Use of the Service requires an account. You must provide accurate and complete information during registration.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

§4 User obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

  • Upload content that violates applicable law or third-party rights
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service to store or process data that you are not authorized to handle
  • Resell, sublicense, or make the Service available to third parties without prior consent

§5 Data and intellectual property

You retain all rights to the data you upload to the Service. The Provider does not claim ownership of your content.

The Provider retains all rights to the Service, including software, design, documentation, and AI models. You receive a non-exclusive, non-transferable right to use the Service for the duration of your subscription.

§6 Availability and maintenance

The Provider aims for high availability of the Service but does not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where possible.

The Provider is not liable for outages caused by factors beyond its control, including internet disruptions, third-party service failures, or force majeure.

§7 Pricing and payment

Pricing is displayed on the website and within the application. The Provider may adjust pricing with 30 days' notice.

Invoices are due upon receipt. If payment is overdue by more than 14 days, the Provider may restrict access to the Service.

§8 Liability

The Provider's liability is limited to damages caused by intent or gross negligence. Liability for slight negligence is limited to foreseeable, contract-typical damages, except in cases of injury to life, body, or health.

The Provider is not liable for the accuracy, completeness, or legal compliance of the data you enter or the compliance conclusions you draw using the Service. The Service supports your compliance work but does not replace qualified legal or regulatory advice.

§9 Term and termination

The contract runs for the agreed subscription period and renews automatically unless cancelled before the end of the current period.

Either party may terminate the contract for cause with immediate effect if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice.

Upon termination, you may export your data within 30 days. After that period, the Provider will delete your data in accordance with the privacy policy.

§10 Data protection

The processing of personal data is governed by our privacy policy, available at /datenschutz.

§11 Changes to these Terms

The Provider may amend these Terms with 30 days' written notice. If you do not object within the notice period, the amended Terms are deemed accepted. The Provider will inform you of this consequence in the change notification.

§12 Applicable law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for disputes arising from or in connection with these Terms is Frankfurt am Main, Germany, to the extent permitted by law.

§13 Severability

If any provision of these Terms is or becomes invalid, the remaining provisions remain in effect. The invalid provision shall be replaced by a valid provision that comes closest to its economic purpose.
